Draft for legal review. This sets out the commercial terms we intend to operate on. Have it reviewed by a solicitor before any publisher accepts it.
This agreement is between NHZ Global Ltd, trading as AdNativo, and you, the publisher, and governs the display of advertising supplied by us on websites you own or control and which we have approved.
Each website must be approved by us before it carries our advertising. We may decline a site, or withdraw approval later, at our discretion. We will give a reason.
You receive the percentage of net revenue stated in your account. This is between 70% and 90%, and is 70% unless agreed otherwise in writing. Net revenue means the amount we actually receive from the demand source for advertising served on your websites, after that demand source has deducted its own fees. We may change the percentage on 30 days' notice, and it will not fall below 70% while this agreement is in force.
Your dashboard shows earnings by site, ad unit, country and device. Where our figures differ from the demand source's, the demand source's figures are final, since they determine what we are paid. We will show you any adjustment and why it was made.
Revenue arising from invalid traffic is not payable, whether or not you knew about it. Where we or a demand source identify invalid traffic we may withhold the affected earnings, suspend serving, and close the account. We will tell you what we found.
Each of us will keep the other's non-public commercial information confidential. This includes our demand partner arrangements and rates.
Either of us may terminate at any time on written notice. You may simply remove the tag. On termination we will pay any balance due, subject to the minimum payout and to clauses 6 and 7. We may terminate immediately for breach or suspected fraud.
We may update this agreement. Material changes take effect 30 days after we notify you, and continuing to serve our advertising after that means you accept them. Each version is dated, and we record which version you accepted.
You are an independent contractor, not our employee, agent or partner. This agreement is governed by the laws of England and Wales.
